Amazon Business Feature Terms and Conditions

  1. GENERAL. These terms form part of the Amazon Business Accounts Terms and Conditions (the “Agreement”). All capitalized terms not defined herein have the meanings given to them in the Agreement.
  2. THIRD-PARTY SERVICE PROVIDERS. Amazon Business may enable third party service providers (“Providers”) to integrate with Amazon Business for your benefit. If you choose to use the services of such a Provider in connection with your Business Account, you authorize Amazon to disclose to such Provider your account information, including information regarding you, your RegisteredUsers, your employees or agents, and your and your User’s orders. You acknowledge that the use of this information by a Provider will be governed by the Provider’s privacy, data and security policies, and other agreements you have with such Provider. You agree that Amazon is not responsible for and will have no liability arising from Amazon’s disclosure of information to such Provider, the Provider’s subsequent use of such information, or any services provided by the Provider.
  3. SELLER CREDENTIALS. Any diversity, industry or other certifications made available to you through Amazon Business (e.g., a minority-owned business certification) have been provided by third-party sellers and have not been independently verified by Amazon. You should carefully review and validate any certifications and supporting information that you use to make your purchasing decisions. We take no responsibility and assume no liability for any certifications or supporting information provided by third-party sellers.   4. SELLER DEBARMENT NOTIFICATION. This feature is designed to give you more information about third-party sellers on Amazon Business. If you enable this notification feature, Amazon Business will identify third-party sellers who have provided us information that matches an entity on the exclusion lists of the Office of Inspector General (OIG) of the U.S. Department of Health and Human Services’ (HHS) and the General Services Administration’s (GSA) System for Awards Management (SAM), and other exclusion lists as included on the Seller Debarment Notification Help Page, which is incorporated into these feature terms. Amazon compares any storefront name or business name provided by the third-party seller with the applicable exclusion lists on a periodic basis. The feature does not provide information about parties related to the third-party sellers, such as owners, employees, affiliates or subsidiaries, and may not include information for certain sellers. Further information about these and other important limitations is available on the Seller Debarment Notification Program. This feature is not intended to be a replacement for your own policies and procedures related to the verification of third-party suppliers.
  5. AMAZON TAX EXEMPTION PROGRAM. If your organization participates in the Amazon Tax Exemption Program, your participation in the program is subject to the Amazon Tax Exemption Program Terms and Conditions. If your Business Account has a tax exemption certificate associated with it, you acknowledge that any tax exempt purchase made from User Accounts must be paid for with the organization’s funds. Please refer to the Amazon Tax Exemption Program Policy for additional detail.
  6. BUSINESS PRIME. If your Business Account purchases Business Prime, your use of Business Prime will be subject to the Business Prime Terms and Conditions.
  7. SUBSCRIBE & SAVE. If your organization chooses to use Subscribe & Save, your use of the feature will be subject to the Subscribe & Save (for Amazon Business) Terms and Conditions.
  8. PROFESSIONAL USE SELECTION. To purchase certain professional use products, you must comply with additional policies applicable to those products (“Professional Use Policies”), have all necessary licenses, certifications and other credentials required by the Professional Use Policies (“Credentials”) and by applicable federal, state and local law, and provide evidence of your Credentials as required by Amazon. The Professional Use Policies apply to the products described in the Healthcare Purchasing and Disclosure Policy and the Professional Beauty Policy. For any Credentials or related information you provide, you represent and warrant that you are the authorized Credential holder or have their authority to provide such Credentials and further that all purchases made using the Credentials are with the authority of the Credential holder.
  9. BETA SERVICES; ROADMAP DISCUSSIONS. Amazon may make available to you or discuss with you products and services that are not yet generally available, including products and services labeled “beta”, “preview”, “pre-release” or “experimental” (each, a “Beta Service”). Amazon does not guarantee that any Beta Service will ever be launched, or if launched, be made generally available. Amazon does not guarantee that any participant in a Beta Service will have access to the generally available version after expiration of the beta period, or that any generally available version will contain the same or similar functionality as the version made available by Amazon during the term of the Beta Service. You must comply with all policies and restrictions related to any Beta Service as posted on the Amazon Business site or otherwise made available to you. The Beta Service, and any materials or other information about or involving (including the existence of or potential launch dates for) any Beta Service are considered Amazon Confidential Information and subject to your confidentiality obligations in the Agreement.
  10. MULTIPLE LEGAL ENTITIES. Although your Business Account was originally registered for one legal entity, you may choose to permit your Affiliates to use your Business Account. Affiliates are legal entities that directly or indirectly control, are controlled by or are under common control with your business. By accessing your Business Account, each Affiliate agrees to the terms in the Agreement and agrees to be responsible for any actions taken using your Business Account (including services accessed and products purchased) and all associated User Accounts. If, at any time, an Affiliate no longer meets the definition of Affiliate, that Affiliate will promptly provide written notice to us and you will remove that Affiliate from your Business Account. The business that originally registered for your Business Account will also remain responsible for any actions taken by Affiliates. You agree that certain administrators of the Business Account will have access, visibility and control over the entire Business Account (including any activity of Affiliates). If you are working with Amazon to formally set up your Business Account as a multiple legal entity account, you authorize Amazon to access your Business Account and update your, and your Affiliates' account settings and registration details, as required.
  11. ASSOCIATED ACCOUNTS. Certain groups of organizations that are not under common ownership and control (for example franchisee relationships, members of group purchasing organizations, members of industry associations) may choose to become an "Associated Account" as part of its relationship with a Lead Account. A "Lead Account" is the Business Account of the organization that determines membership in the Associated Account (for example as franchisor, group purchasing organization, industry association). By becoming an Associated Account, you agree that the Lead Account will have visibility into certain of your Business Account information, such as information needed to verify your account eligibility including your organization's name or credentials, administrator name, and email address, as well as information used to generate reports provided to the Lead Account such as aggregated spend data. You may also choose to share with or receive information from other Associated Accounts such as public shopping lists or individual order data. Each Associated Account will be responsible for its own purchases and actions taken by its account. The Lead Account may choose to disassociate your Associated Account at any time without notice.
  12. SPOT BUYS. We may assist you with one-time bulk purchases of products outside the normal processes of our website, either through the Request for Quote feature or by facilitating a custom quote for a one-time purchase through Amazon Business' Quoting Concierge Team (collectively, "Spot Buys"). Spot Buys are subject to the terms described below, which may differ from ordinary Amazon Business Store purchases. To the extent that any provisions in these Spot Buy Terms conflict with the Amazon Business Accounts Terms and Conditions, these Spot Buy terms will apply.

    12.1 CANCELLATION. You may not cancel a Spot Buy after you have placed the order. Notwithstanding the foregoing, some Spot Buys include an express Agreed-Upon Delivery Date. If a Spot Buy order has not been delivered within thirty (30) days of an express Agreed-Upon Delivery Date, you may cancel any unshipped portion of the Spot Buy order.

    12.2 RETURNS AND REFUNDS. Only those items in a Spot Buy that arrived damaged, defective, in nonconformancewith the product description, or arrive more than thirty (30) days after an express Agreed-Upon Delivery Date are eligible for return or refund. If the delivered items are eligible for return or refund, Amazon’s Returns Policies apply.

    12.3 SPOT BUYS FROM THIRD-PARTY SELLERS. Some Spot Buys are offered by third-party sellers, which are independent businesses selling in the Amazon Business store, and those Spot Buys are not subject to Amazon's A-to-Z Guarantee. If you have an issue with a Spot Buy sourced from a third-party seller and the order is not eligible for a return or refund, you should contact the third-party seller.

  13. AMAZON BUSINESS SYSTEM FOR AWARD MANAGEMENT REPRESENTATIONS AND CERTIFICATIONS. The Amazon Business profile in the System for Award Management (SAM) includes representations and certifications that Amazon Business makes in its capacity as the operator of the Amazon Business store. The Amazon Business store provides access to purchase goods, software, and services from a variety of parties, including Amazon and third parties. These representations and certifications do not apply to the offer and sale of those goods, software, and services.
  14. SHIPPING PRODUCTS TO OTHERS; QUANTITY LIMITS. Amazon Business customers are not permitted to use their Business Account to ship products to their customers or other third parties who are not linked to their organization. Certain products on the Amazon Business store have restrictions on the quantity that can be ordered by each organization's Business Account. Any attempt to circumvent these quantity limits, including by creating multiple Business Accounts, is prohibited. If we determine that your use of Amazon Business has violated these terms, we may close your Business Account and any other Amazon or Amazon Business accounts linked to your Business Account, among other remedies.
  15. FINANCIAL PRODUCTS AND SERVICES. If you enroll in the Business Credit Account service, you will be subject to the Business Credit Account Terms and Conditions. In order to evaluate you for eligibility for the Business Credit Account service and other financial products and services offered by Amazon and its affiliates, you authorize us and any of our affiliates to obtain business credit reports and other related information about you at any time from one or more business credit reporting agencies and other third parties at no cost to you, and to use such reports and information for lawful purposes, including to verify your identity; to detect and prevent fraud; to evaluate you for, and to recommend, financing products and services; to underwrite, process, and manage financing products and services offered to you; and to develop and improve Amazon financing products, services, processes, and models. You authorize us and any of our affiliates to contact third parties to verify information you submit to receive a financing product or service. Your authorization applies until you terminate your Business Account, and terminating your Business Account will not affect any other consent you may have provided in a separate agreement even if of a similar nature.
  16. AMAZON DEVICES. The following terms apply to resellers of Amazon Devices:

    16.1 SALES TERRITORY. You may only sell Amazon Devices to end users based in the United States.

    16.2 RETURNS. You may not sell any Amazon Devices that have been returned with opened packaging. You must return all customer-returned Amazon Devices to Amazon within 30 days of receipt from the customer.

    16.3 RESELLER OBLIGATIONS. You may not engage in any illegal, false, or deceptive acts or practices with respect to your business activities. You may not make any representations, warranties or guarantees to customers or any other third party with respect to the specifications, features, or capabilities of any Amazon Devices other than those representations, warranties and guarantees provided with the product information provided by Amazon to you, including all disclaimers (if any) contained in that product information.

    16.4 SAFETY AND COMPLAINTS. You will promptly notify Amazon in writing of any suspected Amazon Devices defect or safety issue, and will forward to Amazon all communications you receive from customers that allege deficiencies related to the identity, quality, durability, reliability, safety, effectiveness, or performance of Amazon Devices. You will reasonably assist us with the collection of additional information related to those communications, and will share information with us as reasonably necessary to assist us in satisfying our obligations under applicable laws.

    16.5 RECALLS. If there is a recall for Amazon Devices, Amazon will be solely responsible for determining all aspects of the recall and executing it.

    16.6 CONFIDENTIALITY. Except with Amazon's prior written consent, you agree not to disclose to anyone sales, returns, or other information regarding Amazon Devices except as required by law.

    16.7 PUBLICITY. You will not issue any press release or other public statement regarding the terms or subject matter of your status as an authorized reseller of Amazon Devices without the prior written approval of Amazon.
  17. RESALE OF AMAZON PRIVATE BRANDS PRODUCTS.

    17.1 RESALE OBLIGATIONS. For any Amazon Basics products, Amazon Essentials products, and other Amazon private brands products (collectively, “Amazon Private Brands Products”) that you elect to resell, you will ensure that all current information on the Amazon detail page is presented to your customers including, without limitation, all age restrictions, safety and compliance warnings, safety data sheets, and user manuals. Your sale, marketing, and distribution of the Amazon Private Brands Products will comply with all applicable laws, rules, regulations, orders, rulings, and ordinances, including, without limitation, any and all environmental laws and regulations and California’s Proposition 65. You may not directly or indirectly sell Amazon Private Brands Products on Amazon.com or any other store or website affiliated with Amazon.

    17.2 RECALLS. Amazon will notify you as soon as practicable when an Amazon Private Brands Product is recalled. You will follow any recall instructions provided by Amazon. If end-customer messaging is required, you will promptly notify your end-customers with mutually-agreed messaging.

    17.3 CONFIDENTIALITY. Except with Amazon’s prior written consent, you will not disclose to anyone sales, returns, or other information regarding any Amazon Private Brands Product, except as required by law. You will not issue any press release or other public statement in connection with any of your reseller activities.

    17.4 SAFETY AND COMPLAINTS. You will promptly notify Amazon in writing of any suspected Amazon Private Brands Product defect or safety issue, and will share with Amazon all information that alleges deficiencies related to the identity, quality, durability, reliability, safety, effectiveness, or performance of Amazon Private Brands Products, as reasonably necessary for Amazon to comply with all applicable laws.
