Business Credit Account Terms and Conditions

Your use of Business Credit Account (“BCA”) as a payment method is subject to these terms and conditions (the “BCA Terms”). BCA may be offered by Amazon Capital Services, Inc., or another Amazon entity as indicated on your invoice (“Amazon”). Additional policies also apply to your use of BCA (the "BCA Policies"). We may update these BCA Terms and BCA Policies by posting updates on our websites. Your use of BCA after the effective date of any such updates constitutes your acceptance of the revised terms. When you choose to pay for an order using BCA you agree to be bound by the BCA Terms and the BCA Policies.

  1. Payment. The payment term for any order placed using BCA is in accordance with the standard payment term set out in the BCA Policies, or within such longer time period authorized by Amazon and shown on your invoices and in your Business Account (please refer to Manage your Invoices, Billing and Delivery). If you fail to make payment to Amazon when due, we may charge you late fee at the rate of 1.5% of the amount of the outstanding payment per month. If you made a payment accidentally to Amazon’s bank account, or you are closing your account and it has a positive account balance, you may request a return of a balance held by Amazon by contacting Customer Service. Disbursement to you will not exceed your outstanding balance. Amazon may offset any amounts otherwise owed to Amazon by you from such amounts.
  2. Purchasing Limit. Amazon may, in its sole discretion, determine the aggregate amount that you may pay for using the BCA payment method (“Purchasing Limit”). Your Purchasing Limit may be increased, reduced, suspended, or revoked by Amazon at any time and for any reason. If Amazon authorizes you to allocate your Purchasing Limit among related entities and/or designated divisions or groups (“BCA Subaccounts”), you remain liable for the payment obligations of such BCA Subaccounts.
  3. Consent to Obtain Business Credit Reports; Eligibility. You authorize Amazon and its affiliates to obtain business credit reports and other related information about your business at any time from one or more business credit reporting agencies and other third parties, and to use such reports and information for lawful purposes, including to verify your business' identity; to detect and prevent fraud; to evaluate your business for, and to recommend, financing products and services; to underwrite, process, and manage the BCA payment method; and to develop and improve Amazon financing products, services, processes, and models. You will promptly, upon our reasonable request, provide Amazon with any additional information, and you authorize us to request and obtain such information from government authorities or from any public domain, as permitted by law. Your consent applies as long as you use BCA as a payment method. You represent and warrant, and covenant that any information provided or made available by you or your affiliates to Amazon or its affiliates is accurate and complete, and you will promptly update such information as necessary to ensure it at all times remains accurate and complete. You represent and warrant that your organization is located within the United States of America, including its territories and possessions. You will notify us in writing 30 days prior to any change in your legal name or any change of your jurisdiction of organization and if acquired by a third party.
  4. Termination and Suspension. If you (i) fail to make payment when due; (ii) fail to comply with the BCA Terms or the BCA Policies; (iii) become insolvent, enter into receivership, make an assignment for the benefit of creditors, or declare bankruptcy or similar proceedings are commenced by or against you; or (iv) experience an event that has a material adverse effect on your business, operations, or financial condition, we may, without prior notice to you and any requirement of such notice being waived by you and without prejudice to any other legal remedies that may be available to us (u) suspend or cancel orders; (v) suspend or revoke your ability to use the BCA payment method; (w) offset any amounts that are otherwise payable by us to you; (x) demand immediate payment of all other outstanding invoices; and/or (y) terminate your Business Account.
  5. Security Interest. You grant us a first priority purchase money security interest in all equipment, goods, and inventory acquired with an extension of credit from Amazon, and in any proceeds including accounts receivable or cash from their resale, located in the United States (the “Collateral”) until full payment is received. You agree to file, and permit and authorize Amazon to file, any documents we deem necessary to perfect our security interest in the Collateral, including filing Uniform Commercial Code financing statements.
  6. Returns and Disputes. Returns and disputes will be handled in accordance with the Amazon Business return and A-to-z Guarantee claim polices. Amazon will issue refunds in the form of a credit to your BCA account and email a credit memo to the email address configured on the ‘Business Credit Account’ settings page. To apply this credit to any existing unpaid invoices, email the invoice number, credit memo number, and the amount that needs to be applied to ar-businessinvoicing@amazon.com. Until such time as you have made a claim under our A-z Guarantee, you may not withhold payment for any item purchased using the BCA payment method for any reason.
  7. Collections. We may initiate collections against any past due invoices. We may engage a third-party agency to manage this process on behalf of Amazon, and you may be liable for any fees or charges that a third-party may assess for collections.
  8. Errors. You may not dispute an invoice due to any errors or omissions made by users in your organization while placing the order (e.g. entering incorrect purchase order number).
  9. Severability. If any provision of these BCA Terms is deemed unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these BCA Terms and will not affect the validity and enforceability of any remaining provisions.
  10. Governing Law. The laws of the State of Washington, without reference to conflict of law rules, as well as the Federal Arbitration Act and federal arbitration law, govern the BCA Terms and the BCA Policies and any dispute that might arise between you and us that pertains to the BCA Terms or the BCA Policies. The United Nations Convention for the International Sale of Goods does not apply to the BCA Terms and the BCA Policies.
  11. Entire Agreement. These BCA Terms incorporate the BCA Policies by reference and, together with the Amazon Business Accounts Terms and Conditions, represent the entire agreement between the parties with respect to this subject matter and supersede any previous or contemporaneous oral or written agreements regarding such subject matter. Amazon will not be bound by, and specifically objects to, any term, condition, or other provision that is different from or in addition to the provisions of these BCA Terms (whether or not it would materially alter the BCA Terms). In the event that any term, condition, or other provision (a) submitted by you in any order, receipt, acceptance, confirmation, correspondence, or other document, (b) related to any online registration, purchase order, supplier form, or other questionnaire, or (c) related to any invoicing process that you submit or require us to complete is inconsistent with the BCA Terms, the BCA Terms will prevail.
