Amazon Business Contract Pricing Program Terms and Conditions

These Amazon Business Contract Pricing Program Terms and Conditions (these "Terms") are between Amazon.com Services LLC ("Amazon," "we," "us," or "our") and the Amazon Business Account entity ("Customer," "you," or "your").

  1. Purpose. These Terms govern your access to, use of, and transactions made as part of the Amazon Business Contract Pricing Program (the "Program"). Your participation in the Program is subject to the Amazon Business Accounts Terms and Conditions in effect in the country where your Amazon Business account(s) are located.

  2. Pricing.

    2.1. Contract Product. Starting on the Start Date and continuing for the Initial Contract Price Term, Amazon will make the Contract Product available to you at a price that is no higher than the Contract Price, subject to supplier inventory availability. At any time following the last day of the Initial Contract Price Term, Amazon may make changes to the Contract Price or Contract Product. Amazon will apply the discounting under this Program during the Term so long as you are complying with the terms governing use of Amazon Business, including payment terms.

    2.2. Other Product. For any products in your Quote that are not Contract Products, product selection and pricing reflect current Amazon Business marketplace prices at a moment in time. These prices are for reference only and are subject to change. See the Amazon Business site in your country for current pricing.

  3. Impact of Tariffs, Customs, Duties, or Changes in Tax Policy. Notwithstanding Section 2.1, Amazon reserves the right to change Contract Prices or remove Contract Products if Amazon makes a commercially reasonable determination that the cost or availability of a Contract Product is detrimentally impacted by changes in tax policy, customs, duties, or the implementation of tariffs.

  4. Term; Termination. The Terms take effect when you accept participation in the Program and continue in effect until you or we terminate it (the "Term"). Neither party may terminate these Terms, and Amazon may not terminate the Program, for convenience during the Initial Contract Price Term. Following the last day of the Initial Contract Price Term, except as provided in Section 6, either party may terminate these Terms on 60 days' notice to the other party. These Terms will automatically terminate if you or Amazon terminate your Amazon Business Accounts Terms and Conditions or if you close your Amazon Business account(s).

  5. Nondisclosure. Your participation in the Program and the contents of these Terms are confidential and will not be disclosed.

  6. Modifications. We may, at any time in our discretion, change the Terms by posting such a change on Amazon Business or by notifying your account administrators. YOUR CONTINUED USE OF THE PROGRAM OR PURCHASE OF CONTRACT PRICE PRODUCTS AFTER WE CHANGE THE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MAY IMMEDIATELY TERMINATE YOUR PARTICIPATION IN THE PROGRAM.

  7. Notices. Amazon may provide you notice under these Terms by (i) sending a message to the email address then associated with the administrator of at least one of your Amazon Business Accounts, or (ii) posting a notice to your Amazon Business account. Any notices provided by posting to your Amazon Business Account will be effective upon posting and notices provided by email will be effective when Amazon sends the email. Except as otherwise provided in these Terms, you will provide Amazon notice under this Program by contacting your Amazon Business Customer Advisor.

  8. Definitions. Capitalized terms have the meanings set forth in the Terms or described on the Amazon Business Site.

    "ASIN" means the Amazon Standard Identification Number.

    "Contract Price" means the prices for each Contract Price Product, as provided to you by email or other means, and as updated by us as provided in these Terms.

    "Contract Product" means each product that is offered and sold by Amazon and for which you receive a Contract Price with the Price Ceiling Eligible Column in your Quote marked as "Yes," as provided to you by email or other means, and as updated by us as provided in these Terms.

    "Initial Contract Price Term" means the number of days specified in your Quote for each Contract Product, which could vary for each Contract Product.

    "Quote" means the document provided to you by Amazon containing the Contract Product, Contract Price, and Initial Contract Price Term.

    "Start Date" means the date on which the Initial Contract Price Term starts.
