PURPOSE. Amazon Business may make certain Amazon Business technology integration features available to you from time to time, such as electronic messaging, application programming interfaces ("AB APIs") and other data feeds (collectively "AB Technology"). Examples of AB Technology include but are not limited to Punchout, e-Invoicing, Punch-in, Product Search API, Reconciliation API, Reporting API and Hosted Catalog. You will only use AB Technology for integrations that enable you to purchase products or obtain services from Amazon Business ("Approved Purpose").
TERMS OF USE. You may access and use AB Technology subject to (a) the restrictions set forth in this policy, (b) the Amazon Business Accounts Terms and Conditions, including the use restrictions set forth in the License/Software section of those terms; and (c) if you use Amazon Business APIs, the developer terms set forth in the Solution Provider Portal ("SPP Developer Agreements"). Your use of the AB Technology constitutes your acceptance of these terms. Failure to abide by this policy may result in revocation of access to AB Technology or other legal consequences.
LICENSE AND ACCESS TO SERVICES. Subject to your compliance with this policy, Amazon grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use AB Technology for the Approved Purpose. This license does not include any derivative use of AB Technology or its contents; any downloading, copying, or other use of information derived from AB Technology for the benefit of any third party; or any use of robots, software, products, tools, or similar capabilities that engage in data mining, gathering, harvesting, scraping, or other systematic and/or large-scale data extraction or replication. You may not use AB Technology to infringe, misappropriate, or violate intellectual property or other legal rights. All rights not expressly granted to you in this policy or any other integration terms are reserved and retained by Amazon or its licensors or other content providers. You may use AB Technology only as permitted hereunder and by law. The licenses granted by Amazon terminate if you do not comply with this policy.
TEST ENVIRONMENT AND PRODUCTION CHANGES. Upon request, you agree to provide Amazon access to a demo or test environment for your system, as well as any necessary test data, to facilitate integration, testing, and ongoing support. This access will be provided at no additional cost to Amazon. If providing such access is not technically feasible, you agree to work with Amazon to find a mutually acceptable alternative solution for testing and support purposes.
DEVELOPER DOCUMENTATION. You agree to comply with the AB API Developer Guide and other AB Technology onboarding guides and documentation provided by Amazon to you (collectively the "AB Technology Guidelines"), unless otherwise agreed to in writing by Amazon (email to suffice).
USE OF AMAZON DATA. You will not, and will not allow users or any third party to, (a) disclose to anyone any Amazon data that you collect or derive from AB Technology ("Amazon Data") except as required for Approved Purpose; (b) use Amazon Data for the purpose of aggregating, analyzing, extracting, or repurposing any feature, service, content, product data, or aspect of Amazon Business; (c) use Amazon Data, whether aggregated or anonymized, to extract vendor or seller lists (including sales volumes and purchase histories), or solicit any vendor, seller, or customer of Amazon; (d) use data mining, robots, or similar data gathering and extraction tools in connection with AB Technology; or (e) store, retain, or make copies of any Amazon Data other than to the extent required to complete transactions and access order history, in each case except as required to comply with law. Use of Amazon Data to engage in any catalog, pricing, inventory, or other type of tracking to create a competing marketplace offering or provide to another merchant is strictly prohibited.
DATA ANALYTICS, AI MODELS AND USE OF AGENTS. 7.1. Restriction on AI Training. You will not, and will not allow any third party to, use Amazon Data to, directly or indirectly, develop or improve large language or multimodal models, machine learning models or related technology ("AI Model"). If you use any third-party AI Model ("3P Model") as part of your use of AB Technology, you represent and warrant the third party will not train, retrain, or finetune the 3P Model, or develop any other AI Model or related services, using Amazon Data. 7.2. Implementation. In addition to the security requirements found in Section 8 of this Policy, you must employ commercially reasonable data isolation, encryption, access controls, logging, monitoring, retention, and auditing for Amazon Data. 7.3. Transparency and Consent. No Agent may access, use, or interact with AB Technology unless, at all times, it identifies itself and operates in strict accordance with the requirements of this section. In addition, no Agent may access, use, or interact with AB Technology if we have requested that the Agent refrain from accessing, using, or interacting with any AB Technology. "Agent” means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, including any action that is not initiated by human, authenticated end users. 7.4. Limitation on Access. At our sole discretion, we may limit, including by technical measures or as set forth in the AB Technology Guidelines, whether and how any Agent accesses, uses, and interacts with AB Technology. 7.5. Technical Requirements. Agents must: (a) In all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]" (e.g., Agent/AmazonAgent); (b) Not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (i) mimicking the speed or pattern of human keystrokes, page navigation, or other interactions or (ii) completing or circumventing CAPTCHAs or other measures intended to distinguish computers from humans; (c) Respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer; (d) Not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with AB Technology.
SECURITY. You will establish and maintain reasonable physical, technical, and administrative safeguards against the destruction, loss, alteration, or unauthorized use of Amazon Data. These safeguards will be: (a) consistent with those standards of other similarly situated companies providing similar services; and (b) at least as rigorous as (but in no event less rigorous than) those safeguards you use for your own materials and property of a similar nature. You will also be subject to additional security requirements set forth in the Amazon Business Data Protection and Security Policy for Integrations. You will promptly notify us of any breach of security that may result in a compromise of the confidentiality and integrity of Amazon Data. You will take action immediately, at your expense, to investigate the breach, identify and mitigate the effects of the breach, and implement appropriate security measures in response to the breach.
AB API AND PUNCH-IN PRIVATE KEYS OR PASSWORDS. You may be provided with a unique set of private keys or passwords to access AB APIs or Punch-in. We may change your keys or passwords from time to time. You are solely responsible for maintaining their secrecy and security. You may not sell, lease, rent, transfer, sublicense, or otherwise disclose these keys or passwords to any other person or entity. You are solely responsible for all activities that occur using your keys or passwords, regardless of whether those activities are undertaken by you or any other person or entity. You should contact us immediately if you believe that someone other than you may be using your private key or password, or if your private key or password is otherwise disclosed, compromised, lost, or stolen. You acknowledge that only certain products or product categories may be available through AB Technology, and Amazon may change these at any time without notice.
API USAGE AND LIMITATIONS. You will not use Product Search API to create or maintain a catalog of Amazon Business products for future purchases outside of Amazon's Hosted Catalog feature. Amazon may set and enforce limits on your use of APIs (e.g. limiting the number of API requests that you may make or the number of users you may serve), in our sole discretion. You agree to, and will not attempt to circumvent, such limitations or use in a manner that creates a risk to system performance, stability, or security. We may monitor, audit, or otherwise inspect your use of AB APIs for compliance with this section. If you access any AB APIs, you will also comply with any integration terms as set forth in the AB API Developer Guide and the SPP Developer Agreements.
TERMINATION. You may discontinue your use of AB Technology at any time for any reason. We may terminate or suspend your use of all or any portion of AB Technology for convenience with 30 days' advance notice. We may also suspend or terminate your use of AB Technology immediately if we determine that (a) you have materially breached this policy and failed to cure within 7 days of a cure notice unless your breach exposes us to liability towards a third party, in which case we are entitled to reduce, or waive, the aforementioned cure period at our reasonable discretion; (b) your account has been, or our controls identify that it may be used for deceptive, fraudulent, or illegal activity; (c) your use of AB Technology has harmed or our controls identify that it might harm third parties, such as (without limitation) other customers, Amazon partners, shippers, or Amazon's legitimate interest; (d) for violation of terms in the SPP Developer Agreements, or (e) if we are required to do so by law. Upon termination, your right to use AB Technology will terminate, and all rights and obligations under this policy automatically terminate except for rights of action occurring prior to termination and Sections 1, 2, 3, 6, 7, 8, 11, 12, 13, and 14.
EMPLOYEES, USERS AND SUBCONTRACTORS. You will ensure that any users, employees, subcontractors, or other individuals or entities (including Agents or middleware providers) that you have provided access to AB Technology (a) will comply with your obligations under this policy, and (b) will be subject to terms of any agreement between you and such party that are consistent with this policy. For purposes of this policy, the term "you" will include such parties. You agree that you will be responsible for any failure of such parties to comply with these provisions.
NO THIRD-PARTY BENEFICIARIES. Except as expressly set forth in this policy, this policy does not create any third-party beneficiary rights in any individual or entity that is not a party to this policy.
MODIFICATION AND SEVERABILITY. We may amend this policy at our sole discretion by posting the revised policy. Your continued use of AB Technology after any update of the revised policy constitutes your acceptance of the terms. If any of these conditions are deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.
